Terms of Use

1 Definitions and Interpretation

1.1In this Agreement, unless the context requires otherwise, the following terms have the meanings set out below:

Agreement means these Terms of Use, together with any Services Agreement, order form, or other document incorporated by reference, as amended from time to time.
Services means the products, platforms, hosting, data processing, analytics, and any other services provided by us to you, as selected by you and set out in your Services Agreement or as otherwise agreed between us in writing.
Services Agreement means the agreement, order form, quote, or other written arrangement entered into between you and us that sets out the specific Services subscribed for, including any applicable fees, terms, and service levels.
Third Party Applications means any software, platform, or application provided by a third party that is used, accessed, or integrated with in connection with the provision of the Services, including but not limited to accounting, point-of-sale, or business intelligence systems.
Third Party Data Feeds means any data, files, or information sourced from a third party (including suppliers, financial institutions, or other service providers) that is used, accessed, or ingested in connection with the provision of the Services.
Data Collection Policy means our Data Collection Policy, as published at abcis.com.au/data-collection-policy and updated from time to time, which sets out how we collect, handle, store, and secure data in connection with the Services.
Privacy Policy means our Privacy Policy, as published at abcis.com.au/privacy-policy and updated from time to time, which sets out how we manage Personal Information.
Personal Information has the meaning given in the Privacy Act 1988 (Cth).
us, we, or our means ABC Information Solutions Pty Ltd and its related bodies corporate.
you or your means the person or entity that subscribes for the Services under this Agreement.
Website means abcis.com.au, myezylink.com.au, clickinvoicing.com.au, and any associated subdomains or platforms operated by us.

2 Services

2.1Subject to your compliance with this Agreement:

2.1.1you subscribe for the Services, as per your Services Agreement or as otherwise agreed with us; and

2.1.2we grant you a non-exclusive, non-transferable and non-assignable right to access and use the Services for your own internal business purposes. Internal business purposes specifically excludes any commercialisation, resale, sublicensing, or exploitation of the Services, or any underlying information technology products or platforms, for the benefit of any third party.

2.2Where applicable, you will grant us appropriate access and usage rights in respect of any relevant Third Party Applications and Third Party Data Feeds to enable us to properly provide the Services and comply with any agreement entered into between us and the relevant third-party provider.

3 Privacy and Data

3.1We collect, hold, use, and disclose Personal Information in accordance with the Privacy Policy, which forms part of this Agreement. The Privacy Policy sets out, among other things, how you may access or correct Personal Information we hold about you.

3.2We handle, store, and secure data collected in connection with the Services in accordance with the Data Collection Policy, which forms part of this Agreement and is not restated here.

3.3To the extent of any inconsistency between this clause 3 and the Privacy Policy or Data Collection Policy, the Privacy Policy or Data Collection Policy (as applicable) prevails in respect of the specific matters they cover.

3.4You acknowledge that the Privacy Policy and Data Collection Policy may be updated by us from time to time, and that the versions published on the Website at the relevant time apply.
